Excel Orthopedic Physical Therapy

Excel is the premier provider of sports and orthopedic physical therapy and rehabilitation services in northern New Jersey. The Company operates nine facilities across New Jersey in Fort Lee, Oakland, Hackensack, Waldwick, Cresskill, Rutherford, Montvale, Mahwah and Old Tappan. Excel’s physical therapists provide treatment to patients across all locations, and deliver a broad suite of physical therapy services, ranging from therapeutic activities, both active and passive, to neuromuscular re-education, electric stimulation, hydro and laser therapy. The Company serves a broad customer base, including senior citizens, recreational sports participants, high school and college athletes, and professional athletes. Excel is led by an experienced management team that has worked together for over 25 years.

Transaction:

Completed in late 2016, the transaction accomplished several objectives for the existing owners. It provided them a meaningful liquidity event, while also allowing for the retention of a substantial ownership stake, and also enabled the owners for the first time to bring in outside capital and expertise to help expand upon the current base business.

Opportunity:

In Excel we were attracted to the highly experienced senior management team, the Company’s unique position as the premier provider in the marketplace and the outstanding unit economics in a healthcare related business. Having grown Excel to nine locations, the management team demonstrated the ability to open clinics in new markets while maintaining a high quality patient experience and continuing to grow established locations. The Company was identified as a strong platform to leverage Caymus Equity’s significant experience in leading unit economic businesses.

Strategy:

During the due diligence phase of the transaction we worked with Excel to develop a unit economic model to better understand the ramp of de novo locations by analyzing the historical performance of the Company’s nine locations from opening to maturity. This model played a central role in our investment thesis, and established the framework for the growth plan going forward. Caymus Equity also worked closely with management to establish a 100 Day Plan detailing t how to best combine the resources of Caymus Equity with the existing successful platform. The strategic plan outlined the steps needed to achieve our growth objectives for the Company by continuing to expand the Company’s footprint through new unit openings and potentially acquisitions. In addition, we collectively planned how to expand service offerings and increase sales and marketing efforts.


Alpha Imaging

Alpha Imaging sells, distributes and services a wide range of medical imaging equipment across multiple radiological modalities. The Company’s equipment portfolio is extensive and can address the full range of imaging needs within a healthcare system. In addition to facilitating the sale, distribution and installation of imaging equipment, Alpha Imaging generates service revenue from contracts with customers covering ongoing preventative maintenance, repair, calibration, and replacement parts. Additionally, the Company provides application training as well as spare parts, inspections and other labor and consultative services outside the scope of standard service contracts. Alpha Imaging was founded in 1984 and is headquartered in Willoughby, Ohio.

Transaction:

The transaction, completed in late 2015, allowed management to retain a significant ownership stake post-transaction. This transaction also allowed the previous institutional private equity investors to exit their investment in Alpha.

Opportunity:

Alpha is the largest value added distribution and service partner for the leading manufacturer of women’s medical imaging equipment in the United States. Alpha’s exclusive OEM relationships provide Alpha with the opportunity to deliver value-added sales processing, distribution, installation and service support to a wide variety of healthcare facility networks. The Company’s strong customer relationships, in turn, uniquely position Alpha as a necessary and trusted distribution and service partner for each OEM. Alpha has service contracts that provide recurring contractual future revenue for the term of the contracts, which we have worked with the Company to improve.

Strategy:

We worked with Alpha to establish a short and long-term plan to grow their business in new geographies and expand into secondary markets with weaker penetration. We continue to work with management to find add-on acquisitions to expand the Company’s product mix and geographic coverage.


Hospitality Staffing Solutions

HSS is the nation’s largest provider of outsourced staffing solutions for the hospitality, gaming, and lodging industries. Founded in 1990, HSS has built an impressive list of blue chip clients, among numerous other prestigious hotel brands and high profile resorts and casinos. The Company is a flexible staffing solutions provider for the hotel industry. HSS removes the staffing burden from the general manager and the human resource departments at client hotels by handling all hiring and retention of employees, from providing legal documentation, effective training and supervision to paying salaries, workers’ compensation and payroll taxes. HSS is able to provide an exceedingly efficient recruiting process because of its mobile, feet-on-the-ground recruiting operation. The Company is based in Atlanta, GA.

Transaction:

We have had a relationship with HSS since 2007. Following the sale of HSS to another institutional private equity investor in 2010, the Company made several changes to its strategic operating plan, including replacing the Company’s CEO, which resulted in significant increases in corporate and regional expenses, thereby reducing profitability and EBITDA. As a result, HSS filed for bankruptcy protection. In December 2013, Littlejohn Capital and Caymus Equity, after purchasing the senior debt, officially became the successful bidder and acquired the assets of the Company upon emergence from bankruptcy.

Opportunity:

HSS is one of the few staffing solution providers that has the ability to provide a complete end-to-end outsourced staffing solution. As such, it has proven its ability to provide a consistent, high-quality product of services that makes the customer very loyal to HSS. HSS’s ability to maintain long-term relationships with its customers has driven new business as the referral based marketing strategy is extremely effective within hotel industry markets. We believe that the Company’s size and position in the marketplace was an opportunity to capitalize on a strong business within a well-established, $130+ billion industry.

Strategy:

We worked with management to establish and implement several turnaround initiatives including (i) the renewed focus on new business efforts and personnel, (ii) the implementation of a Risk Prevention Program and (iii) the further implementation of technology-based improvements. Historically, HSS has demonstrated an ability to grow strategically in existing and new markets. As such, we worked with HSS to help them grow through the “build then staff” model as opposed to the “staff then build” model, which can be a significant drag on profitability.


FST Technical Services

Founded in 1984, FST is the nation’s leading provider of quality assurance and quality control, analytical testing, equipment services, specialty equipment sales and technical staffing for customers within the semiconductor and biopharmaceutical industries. FST’s major function is to act as an independent interface between semiconductor and biopharmaceutical clients and their mechanical tubing-installation subcontractors in establishing “build clean” installation methods that satisfy the customer’s internal specifications, fulfills requirements for local and national codes, and assures conformance to the requirements of other regulatory agencies. FST is one of the few companies in the U.S. with the proven ability to deliver the talent and resources necessary to meet these stringent testing requirements.

Transaction:

Caymus Equity initially met the owners of FST in early 2013 at the Company’s headquarters in Phoenix, AZ. The transaction was completed in late 2013 and allowed the owners to retain a significant ownership stake post-transaction. Shortly after the transaction we took steps to provide strategic advice to the current management team, including steps to further professionalize the business such as the expansion of the executive management team including a chief financial officer. These steps have helped the company expand its services within the semiconductor industry and into the large and rapidly growing biopharmaceutical industry.

Opportunity:

In FST we saw an opportunity to grow more aggressively both domestically and internationally in the semiconductor industry as well as into the biopharmaceutical industry. Because FST’s service of ensuring ultra-high pure working environments that is essential to the production of semiconductors and biopharmaceutical products, we saw that FST’s excellent reputation with its customers reinforced our perspective that the company’s consistent recurring revenue stream from its current customers could quickly benefit from the implementation of a sales force to expand the company’s customer base in the semiconductor industry as well as the biopharmaceutical industry. As the company continues to grow, we saw that the implementation of an executive management team would be essential to support the company.

Strategy:

Caymus Equity has worked very closely with the CEO to develop a strategic plan that focuses on expanding sales and services to new customers in the midsize semiconductor and biopharmaceutical industries. Through the expansion of its sales force, the company is able to effectively target new customer acquisitions to provide its full service offering. In addition, the company plans to further expand its executive management team including world-class experts in new services that the company could offer. FST has already pursued this strategy with the retention of a world-class specialty equipment servicing professional and began this service offering in 2013. By properly executing on these strategies plus making targeted acquisitions, we believe the company will remain the leading service provider to its targeted industries.


Direct Marketing Solutions

Founded in 1982, DMS is a leading vertically integrated direct marketing service provider that develops and executes strategic direct marketing programs on behalf of Fortune 1000 companies. DMS acts as an extension of their clients’ marketing departments by offering a turnkey, integrated direct marketing solution, featuring both agency capabilities (such as strategic planning, creative services, account services, data processing and analytics) and onsite production services (such as prepress, envelope manufacturing, printing, bindery, and letter shop). DMS is one of the only companies in the U.S. that offers complete turnkey direct marketing services, that incorporate a range of digital marketing media that both leverage and enhance its direct mail programs which are focused on mid-volume marketing programs.

Direct Marketing Solutions Transaction:

The transaction allowed the owners to retain a meaningful ownership stake post-transaction, and benefit from a flexible post-transaction capital structure to provide DMS with the necessary capital to further grow the business and better serve its clients.

Opportunity:

The direct marketing industry is a permanent and growing $50 billion industry. We believe that DMS can continue to grow and become entrenched as the industry leader within the mid-volume direct marketing segment. Caymus Equity believes that, under the exceptional leadership of the management team, DMS can build upon the recent strong business momentum and capture additional growth opportunities by offering a differentiated end-to-end offering through a cohesive team approach and expand further into digital services.

Strategy:

We worked with the board and management to develop a strategic sales plan, targeting new customers in new industry verticals and expanding the breadth of direct marketing services to existing customers. We have also worked with the DMS management team to develop a plan that outlines steps for DMS to expand further into digital services, in order to gain new customers and provide existing customers with a more complete direct marketing service offering.


PureRED

Founded in 1967, PureRED, formerly known as GA|PRC, provides integrated marketing services, including the creation, management, and execution of marketing communications, across a variety of media channels to clients throughout the U.S. The company’s marketing campaigns include in-store circulars, free-standing inserts for newspapers and mailers, in-store displays, in-store promotional fliers, online marketing, email & social media campaigns, catalogues, and website management. PureRED specializes in creating and managing content, increasing advertising production efficiencies, and streamlining workflows across all media channels.

PureRED Transaction:

In 2011, Caymus Equity Partners led a transaction that allowed the management team to realign the ownership structure, eliminating the restrictive fiduciary responsibilities of the prior ESOP structure while concentrating ownership in the senior executive management team.

Opportunity:

Since its founding, PureRED has enjoyed significant organic growth and strong financial performance. Its development has been driven by its long and successful history of performing high value added services for a number of the largest and most demanding retailers in the country. We believe that PureRED is a unique industry leader, which is demonstrated by the heavy reliance of clients on PureRED and the embedded nature of their relationships.

Strategy:

A focus on driving operational improvement has played a significant role in supporting the growth of the company. During the course of our ownership, the company has rebranded the business and senior executive team to better align their capabilities with the needs of their clients. In addition, PureRED has expanded their service offering by developing a strong presence in digital marketing, a critical service offering in today’s market. These initiatives have built on a strong culture of success at PureRED, which has led to a platform for driving value.

Phoenix maintains customer loyalty by offering a compelling value proposition based primarily on the distinctiveness of its operations and Phoenix’s comprehensive product offering.

Phoenix Aromas Transaction:

The transaction allowed Phoenix to transition from a family-owned business to a more professionalized company by partnering with institutional financial firms, and provided all of the capital necessary to continue its growth and better serve its customers. The transaction also provided management with the opportunity to take a cash distribution while maintaining significant minority ownership.

Opportunity:

Phoenix has many of the key attributes Caymus Equity is seeking in its investments, such as a strong and ambitious management team, value-added high margin products, and deep client relationships, among others. We believe Phoenix has extremely strong supplier relationships and sourcing expertise that are superior to those of its competitors. Phoenix provides significant value-add to customers by providing flexible, just-in-time delivery of quality products and minimizing customer exposure to market price and supply volatility so that the customers can focus on their core operations.

Strategy:

We worked with management closely to develop a strategic plan to expand Phoenix’s sales and purchasing channels into Europe. Since closing, we have also been instrumental in the augmentation of Phoenix’s management team by hiring a Chief Financial Officer, a Vice President of Procurement, and a head of Human Resources. Most recently, we have assisted the company in operational improvements by centralizing all purchasing with a new IT system, pursuing purchasing discounts, improving inventory control and optimizing cash flow. We believe these improvements provide a platform for continuous success and attractive value creation.
